Reseller & White Label Partner Agreement

This Agreement governs the relationship between Captain's Media Limited, operating the Helm Signage brand ("Helm," "we"), and any business approved as a Reseller or White Label Partner ("Partner," "you").
1. Programs
Two programs are available:
- Reseller — Partner sells Helm Signage to its own clients at a wholesale rate. Client-facing pages display the Partner's name alongside a "Powered by Helm Signage" attribution.
- White Label — includes everything in Reseller, plus full rebranding: Partner's own logo, colors, domain, and application, with no Helm Signage attribution visible to Partner's clients.
- White Label includes a website for Partner's business, built from one of 5 ready-to-deploy templates. Partner may host it independently, or Helm staff can assist with hosting setup. Logo, color, and content implementation is included, along with one round of revisions. A fully custom design outside the 5 templates, or additional revision rounds, is quoted and scoped separately.
2. Fees & billing
- A one-time setup fee applies on approval: $99 for Reseller, $799 for White Label.
- Per-screen wholesale pricing is discounted off Helm's standard $9.00/screen/month retail rate, based on total screens under management. This is recalculated automatically each month from the Partner's current screen count, and can move to a higher or lower tier in either direction as that count changes — no separate renegotiation required.
- Screens are billed monthly in arrears, prorated to the day.
- Partner is responsible for its own billing relationship with its end clients — Helm bills the Partner only, not the Partner's clients directly.
3. Branding & attribution
Under the Reseller program, the "Powered by Helm Signage" attribution may not be removed, hidden, or obscured on any client-facing page. Under the White Label program, no Helm Signage branding, name, or attribution may be added back in by the Partner without written permission.
4. Partner's clients
Partner owns and manages the commercial relationship with its own end clients, and is solely responsible for its own agreements with, and support of, those clients. Helm does not bill or contract directly with Partner's clients, and provides support to the Partner, not to Partner's clients directly, unless separately agreed.
5. Acceptable use
Partner will not use the platform, or permit its clients to use it, to display unlawful, infringing, or harmful content, and will not attempt to reverse-engineer, resell access to, or sub-license the platform outside the terms of the program it purchased.
6. Term & termination
This Agreement continues until terminated by either party. Helm may suspend or terminate a Partner account for a material breach of this Agreement, with notice where practical. Upon ordinary termination, White Label branding rights and existing services may continue through a defined transition period, provided all outstanding fees are paid current — except in cases of fraud, illegal activity, or security abuse, where Helm may terminate branding rights and access immediately. Partner's clients' data handling on termination will be addressed case-by-case.
7. Intellectual property
Helm retains all rights to the underlying platform. White Label branding assets (logo, name, domain) remain the Partner's property. Neither party gains rights to the other's trademarks beyond what's explicitly granted here.
8. Confidentiality
Both parties agree to keep the other's non-public business information confidential, using it only to perform under this Agreement.
9. Limitation of liability
The platform is provided "as is." To the maximum extent permitted by law, Helm is not liable for indirect, incidental, or consequential damages arising from this Agreement or Partner's use of the platform.
10. Changes
Material changes to program terms or pricing will be communicated to active Partners with reasonable notice before taking effect.
